Position Title: Junior to Mid-Level Corporate Finance Associate Attorney

Job Overview: A prestigious law firm based in Chicago, IL, is seeking a skilled Junior to Mid-Level Corporate Finance Associate Attorney. This role offers an excellent opportunity for an ambitious attorney to handle a range of finance transactions for a diverse set of clients across multiple industries. The successful candidate will be integral to deal management, client interaction, and the delivery of high-quality legal services.

Duties:

  • Represent lenders and borrowers in various finance transactions.
  • Handle broadly syndicated credit facilities, acquisition financings, and private credit facilities.
  • Draft, review, and revise critical legal documents, including credit agreements, debt commitment letters, and security agreements.
  • Prepare and manage closing deliverables, such as secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
  • Provide legal support to private equity sponsors and portfolio companies, as needed.
  • Manage client relationships and oversee deal execution from start to finish.
  • Collaborate effectively within a team-oriented environment to deliver top-tier legal services.

Requirements:

  • 2-4 years of experience in finance or corporate law, particularly in finance transactions.
  • Proficiency in representing both lenders and borrowers.
  • Significant experience drafting and negotiating credit agreements and related documents.
  • Experience with private equity sponsors and portfolio companies is a plus.
  • Admission to one or more State Bars.

Education:

  • A strong academic background with a Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Bar in at least one U.S. state.

Skills:

  • Superior drafting, negotiation, and analytical skills.
  • Strong attention to detail and a proactive approach to deal management.
  • Ability to work both independently and within a team setting.
  • Excellent communication and interpersonal skills, with a client-focused mindset.
