Job Overview
A highly respected law firm in Washington, DC is seeking a Junior to Mid-Level Corporate Finance Associate Attorney. Duties

• Represent clients in borrower and/or lender finance matters
• Handle private credit facilities, syndicated credit facilities, acquisition financings, asset-based lending, and securitizations
• Draft, review, and revise credit agreements, debt commitment letters, security agreements, and closing deliverables (e.g., secretary’s certificates, resolutions, legal opinions)
• Assist with deal management and take ownership of key deliverables
• Communicate effectively with clients and internal teams
• Represent private equity sponsors and portfolio companies (preferred)
• Ensure compliance with relevant legal standards and procedures

Requirements

• 1-3 years of experience in finance or corporate law with a focus on borrower and/or lender representation
• Strong experience in drafting and reviewing complex financial agreements
• Familiarity with private credit facilities, syndicated credit facilities, and related financing structures
• Experience with acquisition financings, asset-based lending, and securitizations is a plus
• Diligence, proactive attitude, and team-oriented mindset
• Ability to manage multiple transactions and prioritize workload
• Strong academic background and superior drafting skills

Education

• Juris Doctor (JD) from an accredited law school
• Admission to one or more State Bars (DC Bar admission is preferred but not mandatory)

Certifications

• Active Bar membership in good standing
