Corporate Attorney

A law firm in Philadelphia, PA, is seeking a Corporate Attorney with expertise in business formation, succession planning, corporate governance, mergers & acquisitions, securities and corporate finance, and contracts and corporate agreements. The ideal candidate must be barred in PA and/or NJ, with an LLM in Taxation considered a plus. Preference will be given to candidates with a book of business.

Duties:

• Provide legal advice and support on business formation, entity structuring, and succession planning.
• Counsel clients on corporate governance matters, ensuring compliance with relevant laws and regulations.
• Manage mergers & acquisitions transactions, including due diligence, negotiation, and drafting of transaction documents.
• Assist with securities offerings, including preparation of offering documents and compliance with regulatory requirements.
• Advise on corporate finance matters, including debt and equity financing arrangements.
• Draft, review, and negotiate various corporate contracts and agreements.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the Bar in Pennsylvania and/or New Jersey.
• LLM in Taxation preferred, but not required.
• Minimum of 5 years of experience in corporate law practice, focusing on the specified areas.
• Demonstrated ability to manage complex legal matters independently.

Certifications (Preferred):

• Certification in Corporate Law or Taxation (e.g., from an ABA accredited program).

Skills:

• Strong understanding of corporate law principles and regulations.
• Excellent analytical and problem-solving skills.
• Effective communication skills, both written and verbal.
• Ability to prioritize and manage multiple tasks and deadlines.
• Proficiency in legal research tools and MS Office Suite.
