Job Overview:

A law firm in Santa Monica, CA, seeks a talented Mid-Level Corporate Associate Attorney with over 3+ years of experience advising public companies or investment banks. The ideal candidate will have a strong background in SEC compliance, disclosure, governance, and exchange matters and expertise in capital market transactions. Key Responsibilities:

  • Advise public companies on SEC compliance, disclosure, governance, and exchange matters.
  • Represent issuers or investment banks in capital market transactions, including:
    • Initial Public Offerings (IPOs)
    • Special Purpose Acquisition Companies (SPACs)
    • Direct listings
    • Follow-on offerings
  • Collaborate with clients to provide strategic legal counsel on various corporate matters.
  • Draft, review, and negotiate legal documents related to capital markets and corporate governance.
  • Conduct due diligence and prepare offering documents and related disclosures.
  • Stay updated on relevant industry regulations and trends, particularly in technology and life sciences sectors.
  • Work closely with senior attorneys and partners to ensure client needs are met with the highest standard of legal service.

Requirements:

  • Minimum of 3+ years of experience advising public companies or investment banks.
  • Proven experience with SEC compliance, disclosure, governance, and exchange matters.
  • Demonstrated expertise in capital market transactions (IPOs, SPACs, direct listings, follow-on offerings).
  • Strong interest or background in technology and life sciences companies preferred.
  • Superior academic credentials.
  • Excellent oral, written, and interpersonal skills.
  • Must be barred in the state of California.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in the California State Bar.
