The ideal candidate will have 1-3 years of experience focusing on executive compensation, particularly in the context of mergers and acquisitions, along with related tax and securities law issues. The position requires significant deal experience and a strong foundation in corporate law.

Location:

Duties:

  • Advise clients on complex executive compensation and employee benefits matters.
  • Support the M&A practice by handling compensation-related aspects of transactions.
  • Address related tax and securities law issues in the context of compensation.
  • Draft and negotiate executive compensation agreements, equity plans, and related documents.
  • Collaborate with cross-functional teams to provide comprehensive solutions to clients.
  • Engage in client-facing discussions and provide strategic guidance on compensation and benefits matters.

Requirements:

  • 1-3 years of experience in executive compensation matters, specifically in M&A.
  • Significant deal experience related to executive compensation and employee benefits.
  • Strong understanding of related tax and securities laws.
  • Excellent oral, written, and interpersonal communication skills.
  • Active Bar membership in CA.

Education:

  • Juris Doctor (J.D.) from an accredited law school.
  • Superior academic credentials.

Certifications:

  • Active Bar License in the state of California.

Skills:

  • Strong knowledge of executive compensation and employee benefits law.
  • Ability to manage complex legal matters related to M&A and compensation.
  • Excellent legal research and drafting skills.
  • Strong client management and interpersonal skills.
  • Ability to work collaboratively in a fast-paced environment.
