A law firm in Irvine, CA is seeking a Joint Ventures Associate Attorney with 3-6 years of experience in handling complex and sophisticated real estate joint ventures. The ideal candidate will have expertise in drafting and negotiating limited liability company and partnership agreements and will possess strong communication and interpersonal skills. Major law firm experience and a solid academic background are preferred, while a tax LL.M. or familiarity with partnership tax will be considered an advantage. Key Responsibilities:

  • Draft, review, and negotiate complex real estate joint venture agreements, including limited liability company and partnership agreements.
  • Advise clients on the structuring and formation of joint ventures and partnerships in connection with real estate investments and developments.
  • Conduct legal research and analysis on relevant laws and regulations affecting joint ventures and real estate transactions.
  • Collaborate with internal teams and external stakeholders to ensure all aspects of joint venture agreements align with business goals and legal requirements.
  • Assist clients with strategic planning, including tax considerations related to real estate joint ventures and partnership agreements.
  • Manage multiple real estate joint venture projects, ensuring compliance with deadlines and client expectations.
  • Review and interpret complex financial documents, including real estate financing agreements and tax structures.
  • Participate in meetings and negotiations with clients, investors, and partners to finalize joint venture agreements.
  • Provide counsel on partnership tax issues when applicable, with support from tax specialists when needed.
  • Stay updated on changes in real estate and joint venture laws, partnership taxation, and regulations.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school with a strong academic record.
  • 3-6 years of experience in joint ventures, with a focus on real estate limited liability company and partnership agreements.
  • Admission to the State Bar of California is required.
  • Major law firm experience preferred, particularly with real estate or joint venture practice.
  • Excellent legal drafting and negotiation skills, with attention to detail in handling complex agreements.
  • Strong research, writing, and communication skills for drafting legal documents, advising clients, and negotiating deals.
  • Interpersonal skills to effectively collaborate with clients, colleagues, and external partners.
  • A high level of academic achievement and commitment to professional growth.
  • Tax LL.M. or familiarity with partnership tax is highly desirable but not required.
