Duties:

• Assist in advising clients on capital markets transactions, including securities offerings and compliance matters.
• Provide counsel on corporate governance and regulatory matters, including Exchange Act reporting.
• Draft and review documents related to securities offerings, including prospectuses, registration statements, and other filings.
• Ensure compliance with the rules of major stock exchanges, such as the New York Stock Exchange and Nasdaq.
• Collaborate with senior attorneys to provide strategic legal advice to clients across various sectors.
• Participate in negotiations and communicate with clients to manage expectations and ensure the best outcomes.
• Take on increasing responsibility for client relationships and complex projects as the position evolves.

Requirements:

• 3-5 years of experience in corporate law, particularly in securities offerings and compliance.
• Experience with public and private securities offerings, including working knowledge of federal securities laws.
• Strong understanding of corporate governance, reporting obligations, and SEC rules.
• Ability to manage multiple tasks and deadlines in a fast-paced environment.
• Capacity to work independently and collaboratively with colleagues and clients.
• Exceptional written and verbal communication skills.
• Strong analytical and problem-solving abilities.

Education:

• J.D. from an accredited law school.
• Strong academic background.

Certifications:

• Licensed to practice law in the state of North Carolina (or eligible for admission).
