Job Overview: A law firm seeks a highly motivated and skilled mid-level corporate associate attorney to join its dynamic and collaborative corporate department. The ideal candidate will counsel clients on various corporate matters, including mergers and acquisitions, debt and equity financings, and securities law compliance. Duties:

  • Advise clients on mergers and acquisitions, including asset and stock transactions, due diligence, and negotiations
  • Handle debt and equity financings, including venture capital, convertible debt, and bank financing
  • Provide counsel on securities law compliance, including private offerings and commercial law matters
  • Draft, review, and negotiate contracts and other corporate agreements
  • Manage client relationships, providing excellent service and effective legal strategies
  • Collaborate with internal teams to ensure seamless legal processes for clients

Requirements:

  • Minimum of 3 years of relevant experience in corporate law practice
  • Strong knowledge of corporate transactions, entity formation, venture capital financing, and private offerings
  • Familiarity with state and federal securities laws
  • Licensed to practice law in Massachusetts and New Hampshire
  • Exceptional interpersonal and communication skills
  • Ability to effectively manage both internal and external client relationships

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Licensed to practice law in Massachusetts and New Hampshire
