A law firm is seeking a Mid-Level to Senior-Level Transactional Tax Associate Attorney in Washington, DC.

Job Overview:

The Transactional Tax Associate Attorney will negotiate, draft, and advise on tax-related provisions across a variety of transactional documents, with a focus on partnership tax, tax credits, and project finance. This role requires a strong foundation in domestic taxation law and the ability to handle complex transactions independently while contributing to the firm's cutting-edge work in energy transition.

Duties:

  • Negotiate and draft tax-related provisions for partnership agreements, purchase and sale agreements, credit agreements, and related transactional documentation.
  • Review and draft tax-related provisions in construction documents, offtake agreements, and other project-related contracts.
  • Prepare memoranda and opinions on tax credit qualification, investment structuring, and related tax matters.
  • Coordinate with internal and external resources across various competency areas involved in project development and financing transactions.
  • Assume significant responsibility in tax analyses, memo drafting, contract review, and negotiations with opposing counsel.

Requirements:

  • 4+ years of experience in domestic taxation law, with a background in partnership tax or tax credits.
  • Admission to the Bar and in good standing.
  • Strong academic credentials and intellectual curiosity.
  • Experience with renewable energy tax credits, project finance, and partnership/M&A transactions preferred.
  • Excellent drafting skills with attention to detail and creativity in problem-solving.
  • Ability to manage time effectively and remain calm under pressure.
  • Strong analytical skills and the ability to grasp complex tax issues.

Education & Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • LL.M. in Taxation preferred but not required.
