Job Overview:
A law firm is seeking an accomplished second-year associate to join its Mergers & Acquisitions (M&A) practice in the Bay Area. The ideal candidate will focus on acquisitions, divestitures, mergers, joint ventures, and private equity transactions. The position requires hands-on experience with due diligence and the drafting of ancillary agreements, with an opportunity to handle all aspects of M&A transactions.

Duties:

  • Lead and support due diligence efforts in M&A transactions.
  • Draft and review ancillary agreements such as stock purchase agreements, asset purchase agreements, and other related legal documents.
  • Assist in structuring and negotiating transactions.
  • Provide legal advice to clients on various aspects of M&A deals.
  • Collaborate with senior attorneys and other legal professionals on complex legal matters.

Requirements:

  • Minimum of 2 years of experience in Mergers & Acquisitions.
  • Hands-on experience with leading due diligence, drafting agreements, and supporting transactional work.
  • Admission to the California Bar.
  • Strong legal research, writing, and analytical skills.
  • Excellent communication and teamwork abilities.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the California Bar.

Skills:

  • In-depth understanding of M&A processes, including diligence, drafting, and negotiations.
  • Strong drafting and legal writing skills for transactional documents.
  • Ability to collaborate effectively within a team and independently.
