Job Overview

A top-tier law firm is seeking a Managing or Senior Associate with 4–7 years of experience in private fund formation to join its distinguished emerging companies and venture capital legal team. Duties

• Represent venture capital and growth equity fund managers in fund formation and operational matters

• Advise clients on structuring, fundraising, and compliance across the lifecycle of investment funds

• Draft and negotiate fund-related documents, including limited partnership agreements and side letters

• Counsel both emerging and institutional fund sponsors with assets ranging from seed-stage to multi-billion dollar AUM

• Provide regulatory guidance including SEC compliance, exempt offerings, and investor disclosures

• Collaborate with a cross-disciplinary team advising technology companies and their investors

Requirements

• 4–7 years of legal experience focused on private fund formation and investment management

• Demonstrated experience representing venture capital or growth equity funds

• Ability to manage high-level fund structuring matters with minimal supervision

• Excellent academic credentials and legal acumen

• Strong interpersonal and client-facing communication skills

• Member in good standing with the bar in the state of intended practice

Education

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications

• Active bar admission in the relevant U.S. jurisdiction

Salaries are in line with other top Bay Area firms, and the firm provides a sizable bonus for all lawyers who bill at least 1,950 hours, with additional money based on three separate billable-hour levels above 1,950.
