The ideal candidate will have experience handling commercial loan agreements and advising banks and private credit funds on various financing structures.

Duties

• Represent financial institutions and private credit funds in structuring, negotiating, and documenting commercial lending transactions.

• Advise on secured and unsecured lending, including venture debt and growth capital financing.

• Draft and review loan agreements, security documents, and inter-creditor agreements.

• Conduct due diligence and assess risks associated with financing deals.

• Collaborate with cross-functional teams to provide strategic advice to clients.

• Ensure compliance with regulatory and legal requirements in financial transactions.

Requirements

• Minimum of 4 years of relevant experience in commercial finance law.

• Experience with lender-side representation in financial transactions.

• Background in advising banks or private credit funds on loans to emerging growth and middle-market companies.

• Ability to work efficiently in a fast-paced environment and manage multiple transactions simultaneously.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Must be admitted to practice law in CA.
