A prestigious law firm is seeking an associate to join its Mergers & Acquisitions practice within the Finance & Transactions group. This opportunity is ideal for an attorney with a strong transactional background who thrives in a client-facing, fast-paced environment. The role offers direct involvement in complex private company deals, including those for private equity and sponsor clients. Duties

  • Lead and support M&A transactions, primarily for private equity and sponsor clients

  • Negotiate term sheets and draft or revise purchase/merger agreements

  • Manage all stages of deal execution including diligence, documentation, and closing

  • Advise clients on acquisition, disposition, and growth equity strategies

  • Handle multiple matters and timelines concurrently

  • Collaborate with shareholders and actively engage in business development initiatives

Requirements

  • 4–6 years of M&A transactional experience, primarily with private company deals

  • Demonstrated experience working with private equity and sponsor clients

  • Proven ability to take lead on drafting and negotiating deal documentation

  • Experience managing multiple deals and client communications concurrently

  • Strong organizational and time-management skills

  • Licensed to practice in Florida or actively pursuing admission

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

  • Strong academic credentials preferred

Certifications

  • Admission to the Florida State Bar (or ability to promptly obtain admission)

Skills

  • Expertise in M&A transactions, especially involving private equity

  • Strong contract drafting and negotiation capabilities

  • Excellent communication, analytical, and interpersonal skills

  • Proficiency in managing client expectations and delivering quality legal work under pressure

  • Team-oriented mindset with the ability to lead and support deal teams
