Duties:

  • Advise public companies on a wide range of matters, including corporate governance, compliance with SEC regulations, and public company reporting.
  • Manage client relationships, addressing sophisticated legal needs and providing strategic counsel on complex business matters.
  • Represent companies in capital markets transactions, ensuring legal compliance throughout the process.
  • Prepare and review key regulatory filings, including SEC reports, disclosures, and other required documents.
  • Handle corporate governance issues, including advising on board matters, shareholder relations, and corporate structuring.
  • Collaborate with other legal professionals and practice areas to support clients' business goals.
  • Stay up to date with developments in securities laws and corporate governance, offering proactive legal advice.

Requirements:

  • Minimum of 5 years of experience in advising public companies on governance, SEC compliance, and related legal matters.
  • Experience in handling capital markets transactions and other complex corporate matters.
  • Demonstrated ability to manage client relationships effectively, including day-to-day legal responsibilities and business development.
  • Strong written and verbal communication skills, with a client-focused approach.
  • Proven ability to work independently while contributing to a collaborative team environment.
  • Excellent organizational and time-management skills, with the ability to handle multiple matters simultaneously.

Education:

  • Juris Doctor (JD) degree from a nationally recognized law school.

Certifications:

  • Admission to the bar in Washington, D.C., or eligibility to be admitted.

  • Corporate Governance: Expertise in advising public companies on board matters, shareholder engagement, and corporate structure.
  • SEC Compliance: Proficiency in SEC reporting requirements, disclosures, and regulatory filings.
  • Capital Markets: Experience with securities offerings, mergers, acquisitions, and other capital market transactions.
  • Client Relationship Management: Ability to maintain strong, productive relationships with clients and manage complex legal matters.
