Job Overview:
A law firm seeking a dedicated associate attorney with a strong background in corporate transactions to join its expanding private equity / mergers & acquisitions practice group. The ideal candidate will work closely with clients, including private equity firms, independent sponsors, private companies, family offices, and investment groups, to provide strategic legal counsel on sophisticated transactions. This role offers a collaborative, team-driven environment with opportunities for professional growth and skill development.

Duties:

  • Collaborate with clients on private equity and M&A transactions, ensuring legal and regulatory compliance.

  • Draft and negotiate purchase agreements and other key transaction documents.

  • Manage significant aspects of deals, including due diligence, structuring, and execution, under partner supervision.

  • Work alongside investment professionals, company executives, and other legal teams to achieve successful transaction outcomes.

  • Provide risk-adjusted legal advice tailored to clients’ business objectives.

  • Support clients through the entire transaction lifecycle, from initial structuring to post-closing integration.

Requirements:

  • 3-8+ years of experience in corporate transactions, particularly in private company mergers & acquisitions.

  • Strong drafting and negotiation skills, with experience handling purchase agreements and deal structuring.

  • Ability to manage key aspects of a transaction with limited supervision.

  • A team-oriented mindset with the ability to collaborate effectively with clients and colleagues.

  • Strong analytical and problem-solving skills to navigate complex transactions.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

  • Admission to the bar in the relevant jurisdiction.

Certifications:

  • Active membership in good standing with the state bar.

Skills:

  • Proficiency in contract drafting and negotiations.

  • Excellent communication and client relationship management skills.

  • Strong organizational and project management abilities.

  • Ability to work independently while collaborating with a team.

  • Business acumen to align legal strategies with clients’ financial and operational goals.

Location:

  • Preference for candidates based in Jacksonville, FL, West Palm Beach, FL, or other firm office locations.

  • Open to remote or hybrid work arrangements.
