Job Overview:
A prestigious law firm is seeking a skilled midlevel to senior Transactional Tax Associate to join its San Francisco office. The ideal candidate will have a minimum of five years of experience in international M&A and tax planning, including cross-border tax structuring, multi-jurisdictional transactions, and intragroup restructurings. This role offers the opportunity to work on sophisticated tax matters within a collaborative team environment.

Location:

Duties:

  • Advise clients on international M&A and tax planning, with a focus on cross-border transactions.
  • Structure and execute multi-jurisdictional transactions and intragroup restructurings.
  • Draft and review tax-related documents, including agreements, memoranda, and other transactional documents.
  • Collaborate with other attorneys and advisors on complex cross-border tax structuring matters.
  • Provide tax analysis and counsel on corporate, partnership, and international tax issues.
  • Represent clients in negotiations, due diligence, and compliance with tax regulations.
  • Maintain and develop relationships with clients, providing high-level tax advisory services.

Requirements:

  • Minimum of five years of experience in international tax law, including tax planning and cross-border M&A.
  • Experience in multi-jurisdictional tax structuring and intragroup restructurings.
  • Strong understanding of U.S. tax law, including corporate, partnership, and international tax rules.
  • Excellent written and oral communication skills.
  • Ability to work effectively within a collaborative team environment.
  • Strong organizational skills and attention to detail.
  • Ability to manage multiple projects and meet deadlines.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admitted to and in good standing with the relevant state bar (California preferred).

Skills:

  • Expertise in international M&A tax planning and cross-border tax structuring.
  • Strong technical knowledge of U.S. and international tax laws.
  • Excellent drafting skills for tax documents and transactional agreements.
  • Proven ability to manage complex transactions and provide strategic tax advice.
  • Strong communication skills, with the ability to work closely with clients and other professionals.
  • Familiarity with tax compliance and due diligence processes in cross-border transactions.
