Job Overview:
A renowned global law firm is seeking a mid-level associate with extensive experience in managing and negotiating debt finance transactions to join the Americas Banking practice. The ideal candidate will have strong academic credentials, a passion for domestic and cross-border financing, and the ability to thrive in a fast-paced, multi-jurisdictional environment. This position offers the chance to work on high-quality, challenging transactions and collaborate with a global network of finance professionals.

Location:

  • Los Angeles

Duties:

  • Draft, review, and negotiate commitment letters, term sheets, loan, and security documents.
  • Prepare and review issues lists and summary grids for transactions.
  • Conduct legal research as required by clients.
  • Manage deal teams and transaction processes from initiation to post-closing.
  • Oversee and conduct due diligence.
  • Act as the primary contact for clients, opposing counsel, and transactional legal teams.
  • Assist clients with deal administration, including amendments and collateral matters.
  • Provide direct support to senior lawyers for corporate client matters.
  • Present at educational seminars and engage in continuing education.
  • Mentor and train junior team members.

Requirements:

  • Minimum of two years of experience in debt finance.
  • Preferred experience in sponsored finance, syndicated lending, acquisition/leveraged finance, direct lending, or private credit transactions.
  • Excellent academic record and strong intellectual curiosity.
  • Commercial and business awareness.
  • Exceptional communication and time management skills.
  • Ability to perform well under pressure and handle multiple projects simultaneously.
  • Strong drafting skills and a proactive mindset.
  • Fluency in English required; Spanish is a plus.
  • Admitted to the bar and in good standing.

Education:

  • Juris Doctor (JD) or equivalent legal degree.

Certifications:

  • Bar admission in relevant jurisdiction.
