Job Overview: A law firm in Dallas, TX, is seeking a skilled Mid-Level Private Equity Associate Attorney to join its dynamic team. The ideal candidate will have a strong background in advising private equity firms and their portfolio companies across various complex transactions, including mergers and acquisitions, leveraged buyouts, and equity investments. The role requires a JD degree and at least 3 years of relevant experience in a reputable AmLaw 100 law firm or SEC environment.

Duties and Responsibilities:

  • Advise private equity firms and their portfolio companies in complex mergers, acquisitions, and leveraged buyouts.
  • Draft and negotiate transaction documents, including purchase agreements, shareholder agreements, and financing documents.
  • Conduct due diligence reviews and analyze legal and financial transaction risks.
  • Provide general corporate governance advice and assist with corporate restructurings.
  • Collaborate with clients, lawyers, and business professionals to achieve strategic objectives.
  • Research and analyze legal issues and developments impacting private equity transactions.
  • Manage and prioritize multiple projects and deadlines effectively.
  • Ensure compliance with regulatory requirements and firm policies.

Requirements:

  • JD degree from an accredited law school.
  • Admission to practice law in the state of Texas.
  • Minimum of 3 years of experience advising on private equity transactions.
  • Experience in a notable AmLaw 100 law firm or SEC environment preferred.
  • Strong analytical and writing skills with attention to detail.
  • Excellent organizational and time management abilities.
  • Ability to work both independently and collaboratively in a team-oriented environment.
  • Effective verbal and written communication skills.
  • Demonstrated research and problem-solving capabilities.
  • Conceptual thinking and ability to provide strategic advice.
