Job Overview:
A prominent law firm located in San Francisco, CA is seeking a talented Mergers and Acquisitions (M&A) Associate Attorney to join their Corporate Department. The ideal candidate will have significant experience in corporate transactions, particularly in M&A. This role offers the opportunity to work on complex deals and collaborate with a dynamic team of legal professionals.

Duties:

  • Handle M&A transactions from inception through closing, including due diligence, negotiations, and document drafting.
  • Advise clients on legal implications and strategic considerations related to mergers, acquisitions, divestitures, and other corporate matters.
  • Review, draft, and negotiate a variety of commercial contracts and agreements.
  • Collaborate with other departments, such as tax and finance, to ensure compliance with legal and regulatory requirements.
  • Provide counsel to clients on corporate governance and restructuring matters.
  • Stay current on changes in corporate law that may affect clients or the firm's practice.
  • Assist in managing client relationships and maintaining effective communication throughout the deal process.

Requirements:

  • 4-7 years of experience in M&A or related corporate law practice.
  • Strong background in handling complex M&A transactions and drafting related documents.
  • Expertise in advising clients on corporate governance and legal risks associated with corporate transactions.
  • Ability to work effectively under pressure and manage multiple projects simultaneously.
  • Excellent communication and interpersonal skills to interact with clients and team members.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California Bar is required.

Certifications:

  • An active member in good standing with the California State Bar.
