Corporate Law Attorney

A law firm in Detroit is seeking a Corporate Law Attorney with 3-6 years of experience. The successful candidate will play a key role in representing clients in general corporate matters, including drafting and negotiating purchase agreements, handling securities law compliance matters, negotiating investment transactions, and drafting core company governance documents. The position requires a commitment to delivering high-quality work, effective communication, and a desire to develop strong client relationships.

Job Details:

• Assist firm members in representing clients in general corporate matters.
• Draft and negotiate purchase agreements.
• Handle and advise clients regarding securities law compliance matters.
• Negotiate investment transactions (both company- and investor-side).
• Draft core company governance documents related to client operations and material transactions.
• Communicate in a highly responsive manner and deliver high-quality work-product.
• Effectively communicate at all levels of the Firm and with firm clients.
• Develop and grow strong client relationships at all levels of the client organization.
• Commit to enhancing knowledge on cutting-edge developments in area(s) of practice.
• Experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm, including running M&A deal processes.

Requirements:

• 3-6 years of experience as a Corporate Law Attorney.
• J.D. degree from an ABA-accredited institution.
• Licensed Michigan attorney in good standing.
• Broad transactional experience.

Skills:

• Ability to organize and prioritize numerous tasks under significant time constraints.
• Experience in entity and fund formations.
• Venture capital and private equity financing transaction experience.
• Buy-side and sell-side mergers, acquisitions, and dispositions expertise.
• Negotiating material commercial agreements.
• Securities law compliance knowledge.
