A law firm in Indianapolis, IN, is seeking a Corporate Associate Attorney to join their Corporate group and Nonprofit Organizations team. This role is ideal for an attorney with 3-5 years of experience in private practice, specializing in advising nonprofit organizations on tax, corporate, and charitable trust matters. Candidates with a demonstrated interest or experience in political law, corporate law, or tax law—including corporate and partnership tax, employee benefits, or trusts and estates—are encouraged to apply.

Duties

  • Provide comprehensive legal counsel to nonprofit organizations on issues related to tax compliance, corporate governance, and charitable trusts.
  • Assist in the formation, structuring, and dissolution of nonprofit entities, ensuring compliance with federal and state regulations.
  • Handle complex legal matters involving corporate and partnership tax, employee benefits, and trusts and estates.
  • Draft, review, and negotiate legal documents such as contracts, bylaws, and organizational agreements.
  • Conduct thorough legal research and prepare detailed memoranda on relevant legal issues.
  • Represent clients in dealings with regulatory agencies and manage disputes related to nonprofit governance and compliance.
  • Develop and implement strategies to ensure clients adhere to legal and regulatory requirements.
  • Stay informed about changes in laws and regulations affecting nonprofit organizations and provide proactive legal advice.
  • Contribute to business development by attracting new clients and enhancing the firm’s presence in the nonprofit sector.

Requirements

  • 3-5 years of legal experience in private practice, focusing on advising nonprofit organizations.
  • Expertise in tax, corporate, and charitable trust issues specific to tax-exempt and nonprofit organizations.
  • Experience or strong interest in political law, corporate law, or tax law, including corporate and partnership tax, employee benefits, or trusts and estates.

Education

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications

  • Active Bar License in good standing in Indiana (or willingness to obtain if relocating).
