A law firm in San Francisco, CA, is seeking a skilled Tax Associate Attorney to join their team. The role involves advising clients on a wide range of tax aspects related to domestic and international transactions, investment funds, mergers & acquisitions, and more.

Duties:

  • Advise clients on tax implications of domestic and international merger & acquisition transactions.
  • Provide counsel on tax aspects of private investment fund investments, formations, and transactional planning for companies and tax-exempt organizations.
  • Draft, analyze, and negotiate tax-related documentation for private investment funds (e.g., limited partnership agreements, offering documents).
  • Draft, analyze, and negotiate tax aspects of documentation for public or private mergers and acquisitions, financing, and other transactions.
  • Mentor and review the work of junior associates to ensure accuracy and compliance with tax laws and firm standards.

Requirements:

  • 3-7 years of experience in a law firm environment focusing on complex US and international tax law matters.
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to practice law in the state of California, or eligibility to quickly become admitted in that jurisdiction.

Preferred Skills:

  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication abilities.
  • Ability to work effectively both independently and collaboratively in a team-oriented environment.
  • Attention to detail and ability to manage multiple priorities under tight deadlines.
  • Experience with tax planning and structuring for corporate transactions and investment funds.

Certifications (Preferred):

  • Certification in Tax Law (e.g., LL.M. in Taxation) is a plus.
