Finance Associate Attorney

A law firm in San Francisco is seeking a skilled Finance Associate Attorney with expertise in structured finance transactions. The ideal candidate will have a strong background in commercial law, particularly in areas such as the uniform commercial code, securities law, and bankruptcy-related issues. They should possess hands-on experience in drafting complex commercial contracts and legal opinions, managing financial transactions, and leading junior associates.

Duties:

• Drafting complex commercial contracts, including pooling and servicing agreements, administration agreements, indentures, and trust agreements.
• Providing legal opinions, particularly in bankruptcy matters.
• Managing financial transactions, overseeing junior associates, drafting transaction documents, and ensuring successful transaction closures.
• Conducting legal research and analysis on complex financial and commercial issues.
• Collaborating with clients and other stakeholders to provide strategic legal advice.

Requirements:

• Admission to and a member in good standing of the California Bar.
• Minimum of 4 years of experience practicing law, with a focus on structured finance transactions, including securitization and capital markets transactions.
• In-depth knowledge of commercial law principles and regulations, especially in relation to financial instruments and transactions.
• Proven ability to handle multiple complex matters simultaneously and prioritize effectively.
• Strong analytical, drafting, and negotiation skills.

Education and Certifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Additional certifications or specialized training in finance, securities, or related fields (preferred).
