Duties:

• Provide legal advice on the intellectual property aspects of corporate transactions, including mergers, acquisitions, joint ventures, and financings.
• Conduct due diligence investigations related to intellectual property rights in corporate transactions.
• Draft and negotiate a variety of commercial contracts, including license and technology agreements.
• Counsel clients on intellectual property rights, ensuring compliance and mitigating risks in strategic transactions.
• Collaborate with cross-functional teams to ensure seamless transaction execution.
• Stay up-to-date with evolving intellectual property laws and regulations to provide informed legal guidance.

Requirements:

• Significant experience advising on intellectual property issues in corporate transactions, including buy-side and sell-side transactions.
• Expertise in conducting due diligence investigations and negotiating complex agreements related to intellectual property and technology.
• Strong foundation in the key areas of intellectual property law.
• Admission to the California State Bar is mandatory.
• Proven ability to work in a fast-paced, high-stakes legal environment with multiple clients and deadlines.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to practice law in the state of California.
