Job Overview: A law firm in Washington, DC is seeking a Mid-Level Life Sciences Transactions Associate Attorney to join their team. The ideal candidate will have 2-6 years of experience with life sciences licensing and collaborations, as well as the life sciences aspects of mergers and acquisitions (M&A) and other intellectual property (IP)-driven transactions in the Pharma/Biotech/MedTech space. This role involves supporting senior associates and partners in drafting and negotiating complex commercial transactions and providing strategic advice on IP-related matters.

Duties and Responsibilities:

  • Assist in the structuring, drafting, and negotiating of life sciences licensing and collaboration agreements.
  • Support M&A transactions by providing expertise in the life sciences aspects of due diligence, structuring, and integration.
  • Collaborate with senior associates and partners to develop and implement legal strategies for IP-driven transactions.
  • Draft and review complex commercial agreements, including joint ventures, technology transfer agreements, and research and development agreements.
  • Advise clients on regulatory and compliance issues related to life sciences transactions.
  • Conduct legal research and provide detailed analysis of life sciences and IP issues.
  • Participate in client meetings and provide updates on case progress and legal developments.
  • Contribute to the growth and development of the firm’s life sciences practice by identifying new business opportunities and participating in marketing efforts.

Requirements:

  • 2-6 years of experience in life sciences transactions, including licensing, collaborations, and M&A.
  • Proven track record in supporting senior associates and partners in complex IP-driven transactions.
  • Familiarity with intellectual property concepts, licensing, and complex commercial transactions.
  • Experience in drafting and negotiating licensing and collaboration arrangements.
  • Demonstrated ability to work on M&A transactions and provide strategic support.
  • Must be currently licensed to practice law in California or New York.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Bar in California or New York is required.
