This role requires expertise in drafting and negotiating real estate limited liability company (LLC) and partnership agreements. The ideal candidate should have excellent communication, writing, and interpersonal skills, and demonstrate a high level of academic achievement. While a tax LL.M. or familiarity with partnership tax is a plus, it is not mandatory. Admission to the California State Bar is required.

Key Responsibilities:

  • Draft, review, and negotiate complex real estate joint venture agreements, including LLC and partnership agreements.
  • Provide legal advice on structuring and executing joint ventures and real estate partnerships.
  • Analyze and interpret financial and legal documents related to real estate transactions and partnership agreements.
  • Collaborate with clients to structure real estate investments and develop long-term strategies.
  • Conduct legal research on relevant laws and regulations impacting joint ventures and real estate partnerships.
  • Assist in negotiations between clients, investors, and third parties to ensure agreements meet legal and business needs.
  • Maintain strong relationships with clients, providing continuous legal support throughout the joint venture lifecycle.
  • Stay current on developments in real estate law, tax regulations, and industry trends impacting joint ventures.

Requirements:

  • 3-6 years of experience working on real estate joint ventures, with a focus on drafting and negotiating LLC and partnership agreements.
  • Major law firm experience is preferred.
  • Admission to the State Bar of California is required.
  • Strong legal research, drafting, and negotiation skills.
  • Proven ability to handle complex real estate transactions and joint venture structures.
  • Excellent interpersonal and communication skills, with the ability to work effectively with clients and internal teams.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the California State Bar in good standing.
  • A tax LL.M. or familiarity with partnership tax is a plus but not required.
