A law firm in New York City is seeking a Corporate Associate Attorney with 2-4 years of law firm experience in venture capital and mergers & acquisitions. The ideal candidate will possess superior academic credentials and demonstrate excellent verbal, written, and interpersonal skills.

Key Responsibilities:

  • Assist with venture capital transactions, including fund formation, investment structuring, and negotiating terms.
  • Handle mergers and acquisitions by conducting due diligence, drafting and reviewing agreements, and managing transaction documentation.
  • Advise clients on corporate governance, compliance issues, and strategic business decisions.
  • Draft and negotiate various corporate agreements and documents, including equity financing agreements, acquisition agreements, and partnership agreements.
  • Collaborate with senior attorneys and clients to develop legal strategies and solutions.
  • Conduct legal research and analysis on corporate law issues and transactions.
  • Prepare and present materials for client meetings and negotiations.
  • Manage multiple projects efficiently, ensuring deadlines are met and work product is of high quality.

Requirements:

  • 2-4 years of law firm experience specializing in venture capital and mergers & acquisitions.
  • Superior academic credentials and a high level of academic achievement.
  • Excellent verbal and written communication skills.
  • Strong interpersonal skills and the ability to work effectively with clients and colleagues.
  • Experience drafting and negotiating complex corporate agreements and documents.
  • Ability to handle multiple projects and work in a fast-paced environment.
  • Strong analytical and problem-solving skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility to obtain admission.

Skills:

  • Proficiency in legal research tools and Microsoft Office Suite.
  • Strong negotiation skills and attention to detail.
  • Ability to work independently and as part of a team.
  • Excellent organizational skills with the capacity to manage multiple cases and deadlines.
