Duties and Responsibilities:

  • Securities and Capital Markets Expertise:
    • Provide legal counsel on public company reporting obligations and compliance with SEC regulations.
    • Advise clients on public securities offerings, including structuring and executing debt and equity transactions.
    • Ensure compliance with corporate governance requirements and regulatory standards.
  • Advisory and Reporting:
    • Guide clients through complex reporting requirements and compliance issues.
    • Prepare and review various securities-related documents, such as registration statements and prospectuses.
  • Due Diligence and Team Leadership:
    • Lead due diligence teams during securities transactions and corporate governance matters.
    • Manage and coordinate with specialists and junior attorneys to ensure comprehensive due diligence.
  • Document Drafting and Review:
    • Draft, review, and negotiate legal documents, including underwriting agreements and offering memoranda.
    • Ensure accuracy, compliance, and thoroughness in all legal documentation.
  • Project Management:
    • Handle multiple assignments simultaneously, ensuring timely and high-quality completion.
    • Work independently with minimal supervision, demonstrating strong organizational and time-management skills.

Requirements:

  • Experience:
    • 2-5 years of experience in corporate law, with specific experience in securities law advice and capital markets transactions.
    • Proven track record of advising on public company reporting and SEC compliance.
  • Education and Certifications:
    • Juris Doctor (JD) degree from an accredited law school.
    • Admission to the Indiana State Bar or eligibility for admission.
  • Skills and Qualifications:
    • In-depth knowledge of securities laws, public company reporting, and capital markets regulations.
