Job Overview:

A well-established law firm is looking for a Counsel-level finance attorney for its Finance & Restructuring practice group. The ideal candidate will have at least seven years of transactional experience representing financial institutions and corporate trust clients. The position involves advising on a variety of corporate trust transactions, including structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances. The successful candidate will have experience drafting, negotiating, and reviewing key transactional agreements, including trust indentures and loan agreements.

Location:

  • Philadelphia, PA

Duties:

  • Represent financial institutions and corporate trust clients on structured finance transactions (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances.
  • Review, negotiate, and draft a variety of transactional agreements, including trust indentures, loan agreements, account control agreements, custodial agreements, and SaaS agreements.
  • Provide legal counsel on a range of corporate trust transactions and financial matters.
  • Manage multiple transactions and assignments with minimal supervision.
  • Collaborate with and manage junior lawyers and paralegals to ensure high-quality service to clients.
  • Maintain exceptional client relationships through effective communication and problem-solving.

Requirements:

  • Minimum of 7 years of experience in transactional finance law, particularly in corporate trust and structured finance matters.
  • Experience reviewing, negotiating, and drafting complex transactional agreements.
  • Strong ability to manage multiple projects independently with minimal supervision.
  • Proven experience managing junior lawyers and paralegals.
  • Excellent written and verbal communication skills.
  • Strong negotiation skills and attention to detail.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in the bar of the jurisdiction where the candidate will practice.

Skills:

  • Strong drafting, analytical, and negotiation skills.
  • Attention to detail and organizational abilities.
  • Excellent client management skills and the ability to build lasting relationships.
  • Ability to manage complex legal transactions and lead teams effectively.
