Job Overview:
A prestigious law firm is seeking a highly skilled and motivated Associate Attorney to join its dynamic Energy and Infrastructure M&A team in Houston. This position is ideal for a legal professional with 3-6 years of experience in energy and infrastructure M&A, as well as joint ventures, who seeks to contribute to impactful transactions across various energy sectors including renewables, oil & gas, power generation, energy tech, and more.

Duties:

  • Provide legal counsel and guidance on M&A and joint venture transactions in the energy and infrastructure sectors.
  • Represent clients in a variety of transactions, including renewables, conventional energy, oil & gas, energy transition, and technology-driven infrastructure.
  • Work closely with senior attorneys and clients to structure, negotiate, and close complex deals.
  • Draft, review, and negotiate transaction documents such as term sheets, purchase agreements, joint venture agreements, and other related legal materials.
  • Conduct legal research and due diligence, identifying risks and opportunities for clients.
  • Maintain effective communication with clients and stakeholders, ensuring alignment on key transaction terms.
  • Collaborate with cross-functional teams including tax, environmental, and regulatory experts to ensure comprehensive legal strategies.
  • Provide ongoing support to clients post-transaction to ensure smooth integration and compliance with agreements.

Requirements:

  • 3-6 years of experience in energy and/or infrastructure M&A and joint ventures.
  • Strong track record of advising clients on complex transactions in the energy, infrastructure, and technology sectors.
  • Ability to thrive in a fast-paced, dynamic work environment.
  • Excellent written and oral communication skills, with the ability to simplify complex legal issues for clients.
  • A strong academic background and proven ability to work independently and as part of a collaborative team.
  • Admission to the State Bar of Texas (or eligibility to become admitted in Texas).

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Active membership in the State Bar of Texas (or eligible for Texas Bar membership).

Skills:

  • Expertise in mergers and acquisitions, joint ventures, and corporate transactions.
  • Strong negotiation and drafting skills, with keen attention to detail.
  • Exceptional analytical and problem-solving abilities.
