Duties:

  • Represent clients in private equity and leveraged buyout transactions.
  • Provide strategic legal advice to private equity firms, portfolio companies, and financial institutions.
  • Draft, review, and negotiate a wide range of transaction documents, including acquisition agreements, financing agreements, and equity ownership structures.
  • Collaborate with cross-functional teams, including tax, corporate, and litigation departments, to address client needs.
  • Participate in the development and execution of complex M&A and financing deals.
  • Conduct legal research and provide well-reasoned legal analysis to support transaction structures and business decisions.
  • Manage client relationships and deliver timely and efficient legal services.

Requirements:

  • 4-6 years of experience in private equity, leveraged buyouts, or similar transactions.
  • Admission to the Massachusetts State Bar (or eligibility for admission via waiver).
  • Strong legal research and writing skills.
  • Excellent communication and interpersonal skills.
  • Ability to handle multiple projects and deadlines in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in the Massachusetts State Bar or eligibility for admission by waiver.

Skills:

  • Expertise in private equity transactions, including M&A and leveraged buyouts.
