Projects (M&A) Counsel

A law firm in Minneapolis, MN, is seeking a highly qualified Projects (M&A) Counsel with substantial experience in domestic and international business transactions and corporate matters, particularly within the energy sector. The ideal candidate will engage in high-profile projects related to renewable energy, energy storage, and power generation technologies. This role will involve managing a variety of M&A transactions, including acquisitions, joint ventures, and divestitures, as well as providing strategic legal advice on complex energy transactions.

Duties:

• Advise clients on energy transactions, including mergers and acquisitions, joint ventures, and project development.
• Draft, review, and negotiate complex transaction documents such as purchase agreements, joint venture agreements, and development services agreements.
• Conduct thorough due diligence for M&A deals, including the review of project development documents and legal research.
• Collaborate with internal and external stakeholders, including clients and colleagues in tax, regulatory, and real estate specialties.
• Stay current with industry trends and changes in project development, M&A, and finance law.
• Provide legal assistance on various matters related to project development and M&A as needed.
• Represent clients in the renewable energy sector, focusing on project development aspects including offtake, procurement, and construction, as well as project finance transactions.
• Manage and oversee the execution of M&A transactions, from structuring to finalization.

Requirements:

• 4+ years of experience in M&A transactions and project finance, with a focus on the energy sector.
• Demonstrated experience with domestic and international business transactions, including mergers, acquisitions, joint ventures, and project development.
• Relevant experience representing clients in the renewable energy market, including project development and/or project finance.
• Prior experience in a sophisticated national law firm environment is preferred.
• Strong analytical, negotiation, and drafting skills.
• Ability to handle multiple complex projects and work collaboratively with various teams.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the Minnesota State Bar.
