A law firm in Dallas is actively seeking a Mid-level Capital Markets Associate Attorney with a strong background and interest in representing public companies in public and private securities offerings (both debt and equity). The ideal candidate will also have experience advising clients on Exchange Act reporting, SEC compliance and disclosures, and corporate governance. This role requires excellent drafting and negotiation skills, as well as a desire for teamwork, significant responsibility, and client interaction.

 

Duties:

  • Represent public companies in public and private securities offerings (debt and equity).
  • Provide legal advice on Exchange Act reporting, SEC compliance, and disclosures.
  • Advise clients on corporate governance matters.
  • Draft and negotiate legal documents and agreements.
  • Conduct legal research and analysis on securities laws and regulations.
  • Collaborate with clients and legal teams to develop effective legal strategies.

 

Requirements:

  • Mid-level experience in capital markets with a focus on securities offerings and Exchange Act reporting.
  • Excellent drafting and negotiation skills.
  • Experience representing public companies.
  • Strong interest and background in corporate governance.
  • Desire for teamwork, significant responsibility, and client interaction.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Certifications:

Admission to practice law in the relevant jurisdiction.

  • In-depth knowledge of securities laws and regulations.
  • Excellent drafting and negotiation abilities.
  • Strong legal research and analytical skills.
  • Effective communication and interpersonal skills.
