Duties:

• Represent clients in intellectual property and technology mergers, acquisitions, joint ventures, and other strategic deals.

• Conduct thorough due diligence investigations for buy-side and sell-side corporate transactions.

• Draft, review, and negotiate licensing, technology agreements, and various commercial contracts.

• Advise clients on intellectual property rights and associated strategic decisions.

• Provide counsel on privacy transactions and ensure compliance with privacy regulations.

• Collaborate with cross-functional teams to deliver comprehensive legal solutions.

• Work directly with senior attorneys and clients to navigate complex legal matters.

Requirements:

• Significant experience in intellectual property and technology-related transactions.

• Proven ability to manage corporate transactions, including mergers, acquisitions, and joint ventures.

• Demonstrated expertise in drafting and negotiating technology and commercial contracts.

• Strong background in privacy transactions and privacy compliance.

• Experience conducting due diligence and providing strategic legal counsel.

• Active Bar admission in the state of California.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admitted to the State Bar of California (or ability to transfer Bar membership).
