A law firm seeks an experienced Finance Partner to join its Corporate and Finance practice group in Toronto, Ontario. The ideal candidate will bring extensive expertise in commercial finance transactions, contributing to the team’s ongoing success in developing new client relationships and delivering strategic legal counsel. This role offers an opportunity for seasoned professionals looking to elevate their business development initiatives and work in a collaborative environment.

Duties:

  • Represent clients, including lenders, borrowers, sponsors, and institutional investors, in a wide array of commercial finance transactions.
  • Manage secured and unsecured financing transactions, including asset-based, cash flow, senior, mezzanine, and subordinated finance, as well as leveraged acquisition finance.
  • Advise clients on structured finance, private credit, and direct lending transactions.
  • Draft, review, and negotiate legal documents such as loan agreements, inter-creditor agreements, and other finance-related documentation.
  • Collaborate with other practice areas to offer clients comprehensive legal solutions that address multiple facets of their business needs.

Requirements:

  • Minimum of 10 years of experience in commercial finance law.
  • Demonstrated proficiency in negotiating, structuring, and documenting complex financing transactions for borrowers and lenders.
  • In-depth knowledge of commercial mortgage transactions, asset-based financings, senior and subordinated debt, cross-border finance, and leveraged acquisitions.
  • Experience working with both U.S.-based and international financial institutions, from large banks to non-traditional lenders.
  • Ability to provide legal counsel to a variety of lending, finance, and investment banking clients.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admitted to the relevant bar for practice in Ontario (or eligible for admission).

Skills:

  • Exceptional legal drafting, negotiation, and research skills.
  • Strong client-facing communication abilities.
  • Ability to manage multiple complex transactions simultaneously.
  • Collaborative mindset with the ability to work across practice areas.
