A law firm in Charleston is seeking a dedicated Corporate Associate Attorney with 3 to 5 years of corporate transactional experience, including a focus on reviewing, drafting, and negotiating commercial agreements. The role involves working on various corporate and commercial projects, providing pragmatic legal counsel to clients, and engaging in extensive client interaction. Strong communication skills, business acumen, and a collaborative approach are essential for success in this role.

Duties:

  • Reviewing, drafting, and negotiating principal and ancillary agreements for commercial transactions, such as supply, purchase, service, transportation, and related contracts.
  • Participating in a wide range of corporate and commercial projects, including mergers and acquisitions (M&A), corporate finance, and corporate governance matters.
  • Conducting legal research and analysis on complex corporate law issues.
  • Providing strategic legal advice and solutions to clients based on business needs and objectives.
  • Managing and organizing legal documentation and transactional records.
  • Engaging in direct client communication and maintaining strong client relationships.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the state bar of South Carolina (or eligible for admission).
  • 3 to 5 years of experience in corporate transactional law, with a focus on commercial agreements. Experience in mergers and acquisitions (M&A) is welcome.
  • Strong understanding of business concepts and the ability to grasp business issues quickly.
  • Excellent written and verbal communication skills.
  • Proactive and self-motivated with a willingness to learn and ask questions.
  • Ability to work effectively in a collaborative, team-oriented environment.

Preferred Qualifications:

  • Experience in handling complex corporate transactions and negotiations.
  • Familiarity with securities law, corporate finance, and regulatory compliance.
  • Demonstrated ability to manage multiple projects and deadlines concurrently.
