Job Title: Public Company Counsel (Capital Markets)
Job Location: Austin, TX

Job Overview:
A prestigious law firm is looking for an experienced associate or counsel with over five years of experience in securities law, corporate governance, and SEC reporting to join its growing Public Company Advisory group within the Capital Markets practice. The ideal candidate will have significant expertise in advising public companies on securities compliance, disclosure matters, and corporate governance. This role will require independent management of day-to-day securities law counseling for public companies, including guidance on SEC reporting, corporate governance matters, and capital markets offerings.

Duties:

  • Provide expert advice to public companies on securities law compliance, disclosure obligations, and corporate governance issues.
  • Manage and support clients on SEC reporting matters and corporate governance matters.
  • Work with a range of public company clients from diverse sectors, including technology, healthcare, real estate, and retail/consumer services.
  • Advise on corporate transactions, including capital markets offerings and other related matters.
  • Collaborate with a team of experts within the Public Company Advisory group while managing tasks independently.
  • Stay up to date with evolving securities laws and regulations to offer top-notch advice to clients.

Requirements:

  • 5+ years of relevant experience in securities law, corporate governance, and SEC reporting.
  • Proven ability to manage day-to-day client matters independently in a fast-paced environment.
  • A strong track record of advising public companies on securities compliance and corporate governance.
  • Experience working with clients across diverse industries such as technology, healthcare, and real estate.
  • Ability to provide practical solutions in a legal advisory capacity and manage complex legal issues effectively.

Education:

  • Juris Doctor (J.D.) from an accredited law school.
  • Excellent academic credentials.

Certifications:

  • Must be a member in good standing with the state bar.

Skills:

  • In-depth knowledge of securities laws and regulations.
  • Strong written and verbal communication skills, with the ability to clearly explain complex legal concepts.
  • Ability to independently manage client relationships and provide proactive legal advice.
  • Attention to detail and strong organizational skills.
  • Strong analytical and problem-solving skills.
