Job Overview: A law firm is seeking a Corporate Transactional Associate Attorney with 3-5 years of demonstrated experience in corporate law and transactions. The ideal candidate will have a strong background in mergers and acquisitions, joint ventures, corporate finance, and corporate governance matters and will be adept at managing client relationships and complex legal issues.

Duties:

  • Conducting due diligence and legal research for corporate transactions.
  • Drafting, reviewing, and negotiating transactional documents, including contracts, agreements, and corporate governance documents.
  • Advising clients on legal matters related to mergers and acquisitions, joint ventures, financing arrangements, and general corporate law.
  • Managing and coordinating transactional closings.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the New Jersey (NJ) or Connecticut (CT) Bar in good standing.
  • 3-5 years of relevant experience in corporate and transactional law.
  • Experience with healthcare and life sciences industries is preferred but not required.
  • Strong technical, professional, and client service skills.
  • Excellent written and verbal communication skills.
  • Ability to work collaboratively in a team-oriented environment.

Skills:

  • Proficiency in legal research tools and databases.
  • Advanced drafting and negotiation skills.
  • Ability to manage multiple priorities and deadlines effectively.
  • Attention to detail and accuracy in work product.
  • Strong analytical and problem-solving abilities.

Certifications:

  • Bar admission in New Jersey (NJ) or Connecticut (CT).
