Job Overview:
A law firm in Redwood City, CA, is seeking a CFIUS and International Trade/Export Controls Associate Attorney with 2-4 years of experience in handling international trade regulatory matters, compliance, and enforcement. The ideal candidate will have substantial experience working with the Committee on Foreign Investments in the United States (CFIUS), U.S. export controls, and the International Traffic in Arms Regulations (ITAR). General knowledge of the Defense Priorities & Allocation System (DPAS) is also preferred. The candidate must be admitted to practice law in California.

Key Responsibilities:

• Advise clients on matters involving the Committee on Foreign Investments in the United States (CFIUS) and U.S. export control laws.
• Handle regulatory and compliance issues related to International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), and the Foreign Corrupt Practices Act (FCPA).
• Conduct due diligence in the context of mergers, acquisitions, and investments that may trigger CFIUS reviews or involve export controls.
• Draft, review, and submit CFIUS filings and export control license applications.
• Provide counsel on compliance with the Defense Priorities & Allocation System (DPAS).
• Collaborate with internal teams and external stakeholders to develop and implement compliance programs tailored to clients' international trade needs.
• Monitor regulatory changes in international trade and export control laws and advise clients on compliance strategies.
• Represent clients in enforcement actions, investigations, and audits related to CFIUS, ITAR, and export controls.
• Assist clients in navigating compliance with U.S. sanctions regimes administered by the Office of Foreign Assets Control (OFAC).

Requirements:

• 2-4 years of experience in international trade regulatory, compliance, and enforcement matters.
• Experience with CFIUS filings and procedures.
• Strong knowledge of U.S. export controls, including ITAR and EAR regulations.
• General understanding of the Defense Priorities & Allocation System (DPAS).
• Must be admitted to practice law in California and in good standing.

Education & Certifications:

• Juris Doctor (JD) from an accredited law school.
• Active membership in the California State Bar.
