A law firm in Denver, CO, is seeking an experienced Energy Transition Transactional Associate Attorney to join their team. The ideal candidate will have substantial transactional experience in energy transition projects, including hydrogen, carbon capture, renewable fuels, lithium extraction, and traditional renewable energy. This role requires strong drafting skills, project management capabilities, and the ability to handle complex transactional and project development matters in the energy sector.

Duties and Responsibilities:

  • Advise clients on a wide range of energy transition projects, focusing on hydrogen, carbon capture, utilization and storage, renewable fuels (e.g., renewable natural gas, sustainable aviation fuel), lithium extraction, and other energy transition areas.
  • Negotiate and draft various transactional documents, including EPC contracts, BOP contracts, equipment supply/procurement agreements, O&M agreements, and similar agreements.
  • Provide counsel on mergers and acquisitions, land purchase agreements, offtake agreements (e.g., power purchase agreements), pore space leases, hydrogen purchase agreements, lithium extraction leases, joint venture agreements, partnership agreements, and LLC agreements.
  • Conduct legal research and due diligence related to energy transition projects.
  • Assist clients transitioning from traditional upstream and midstream oil and gas projects to the energy transition sector.

Requirements:

  • Juris Doctor (JD) degree from an ABA-approved law school.
  • Admission to the Bar in Colorado or eligibility for admission through reciprocity.
  • 3-6 years of relevant experience in transactional law, with a focus on energy transition projects.
  • Proven experience negotiating and drafting complex transactional documents.
  • Familiarity with regulatory frameworks and industry standards relevant to energy transition projects.

Education and Certifications:

  • JD from an ABA-approved law school.
  • Admission to the State Bar of Colorado or eligibility for admission through reciprocity.

Skills:

  • Excellent drafting and project management skills, with keen attention to detail.
  • Strong analytical and problem-solving abilities.
  • Effective communication and interpersonal skills for client interactions and teamwork.
  • Proficiency in legal research tools and Microsoft Office Suite.
