Junior Corporate Associate

A respected law firm in San Diego is seeking a Junior Corporate Associate to support its thriving practice focused on startups, emerging growth companies, and venture capital transactions. Location

• San Diego, California

Duties

• Advise startup and emerging growth clients on corporate formation, structuring, and general governance

• Represent companies and investors in venture capital financings, including seed, Series A, and later-stage rounds

• Assist with mergers and acquisitions involving technology and high-growth businesses

• Draft and negotiate a range of corporate documents, including stock purchase agreements, investor rights agreements, and employment agreements

• Counsel clients on board and stockholder matters, fundraising strategies, and exit planning

• Maintain regular client communication and coordinate with executives, boards, and venture capital partners

• Collaborate with colleagues on complex deals in a fast-paced, team-oriented environment

Requirements

• 3-4 years of relevant experience

• Prior experience at a large law firm

• Demonstrated experience or strong interest in working with startups, venture funds, and emerging growth companies

• Comfortable working closely with CEOs, board members, and investors

• Ability to manage multiple matters and prioritize deadlines effectively

Education

• Juris Doctor (JD) from an accredited U.S. law school

Certifications

• Active and in good standing with a state bar (California Bar admission preferred or willingness to become admitted)
