A prestigious law firm is looking to hire an experienced Real Estate Finance Attorney to join its dynamic team in New York City. The successful candidate will bring between 3 and 10 years of experience in representing both institutional and non-institutional lenders in complex commercial real estate financing transactions. This is an exciting opportunity to work on high-value deals in a collaborative and fast-paced setting, where you’ll play a critical role in shaping large-scale commercial projects across the U.S.

Key Responsibilities

  • Lead representation of lenders in a variety of commercial real estate finance transactions, including mortgage loans, construction financing, mezzanine loans, preferred equity deals, and note-on-note financing arrangements.
  • Prepare, negotiate, and finalize loan agreements related to a diverse range of real estate assets, such as land, multifamily properties, office buildings, hotels, mixed-use developments, retail spaces, and condominiums.
  • Draft and negotiate essential financing agreements, such as inter-creditor agreements, co-lender agreements, participation agreements, and recognition agreements between third-party investors and lenders.
  • Review and negotiate additional real estate finance-related documents, including term sheets, franchise contracts, comfort letters, management agreements, SNDAs (Subordination, Non-Disturbance, and Attornment agreements), and estoppels.
  • Conduct thorough due diligence, including reviewing title reports, surveys, organizational documents, and leases, to support clients through financing transactions.
  • Assist lenders with asset management about ongoing loan portfolios.
  • Collaborate with senior attorneys and clients to devise transaction structures that meet lender criteria and comply with applicable regulations.
  • Manage multiple high-stakes transactions concurrently while ensuring timely delivery of work product.

Qualifications & Requirements

  • 3 to 10 years of specialized experience in real estate finance law, ideally gained within a law firm setting.
  • Proven track record in drafting and negotiating sophisticated real estate finance documents.
  • Strong familiarity with structured finance agreements, including inter-creditor and co-lender arrangements.
  • Exceptional research, writing, and communication skills, with the ability to communicate complex legal concepts.
  • Strong organizational skills and the ability to manage multiple deadlines and projects simultaneously.
  • A team player who is comfortable collaborating closely with colleagues and clients in a fast-paced environment.

Education & Certifications

  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice law in the state of New York.
  • Any additional certifications in real estate or finance law would be a plus.
