Job Overview: A prestigious law firm based in San Francisco, CA is seeking a Senior Associate Attorney or Junior Counsel to join their team. The successful candidate will focus on executive compensation and employee benefits, particularly in the context of mergers and acquisitions (M&A). Duties:

  • Draft and negotiate executive employment agreements.
  • Develop and manage equity incentive plans, including profits interest plans.
  • Advise clients on compensation and benefits aspects during M&A transactions.
  • Provide counsel on compliance with federal, state, and local laws regarding executive compensation.
  • Work closely with internal and external legal teams to support client needs and transactional requirements.
  • Offer guidance on employee benefit plans, including retirement plans, health and welfare plans, and other compensation structures.

Requirements:

  • Experience in executive compensation and employee benefits law.
  • Proven experience with M&A transactions, particularly about compensation and benefits.
  • Strong drafting and negotiation skills.
  • Deep understanding of federal and state laws governing executive compensation, employee benefits, and equity plans.
  • Ability to manage multiple complex projects with attention to detail.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the California State Bar or eligibility to become admitted.

Certifications:

  • Active membership in good standing with the California State Bar.

Skills:

  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving abilities.
  • Proven ability to work both independently and as part of a collaborative team.
