Job Overview:

Duties:

  • Lead and manage M&A transactions, advising clients on all legal aspects of mergers, acquisitions, and corporate restructuring.
  • Draft and negotiate transaction documents, including purchase agreements, shareholder agreements, and financing documents.
  • Oversee due diligence processes and coordinate with clients and external parties to ensure the efficient completion of transactions.
  • Provide strategic legal guidance to clients, particularly in the technology and life sciences industries.
  • Work closely with senior partners on complex, high-stakes deals.
  • Maintain and strengthen client relationships, contributing to business development efforts.
  • Stay informed on industry trends and changes in M&A laws and regulations to provide proactive legal counsel.

Requirements:

  • 3-5 years of experience in M&A law, with a focus on complex transactions.
  • Active bar membership in the jurisdiction where the candidate will be working, or eligibility to sit/waive into the next bar exam.
  • Strong experience in negotiating, drafting, and structuring M&A deals.
  • Excellent oral and written communication skills.
  • Proven ability to manage multiple projects and meet deadlines under pressure.
  • Client-oriented with the ability to develop relationships and provide high-quality legal service.
  • Ability to work effectively within a team and independently.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Active bar membership in the jurisdiction where the candidate will be working, or eligibility to sit/waive into the next bar exam.
