A law firm in Dallas is seeking a Finance Associate Attorney with 2-4 years of experience in representing borrowers and/or lenders in various financial transactions. The ideal candidate should possess strong academic credentials, law firm experience, and excellent research, analytical, writing, and communication skills. Candidates must be licensed to practice in Texas or willing to take the Texas Bar Exam.

Job Duties:

  • Draft, review, and negotiate finance-related agreements and documentation, including loan agreements, credit agreements, and security documents.
  • Conduct due diligence reviews and analysis for financing transactions.
  • Provide legal advice and support to clients on financing structures and compliance issues.
  • Assist in the preparation of legal opinions and memoranda related to finance transactions.
  • Collaborate with other practice groups and professionals on complex financing matters.
  • Stay updated on regulatory developments and industry trends affecting finance transactions.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of Texas or eligibility to take the Texas Bar Exam.
  • 2-4 years of experience in finance transactions at a law firm or relevant legal environment.
  • Strong understanding of reserve-based lending transactions, syndicated credit facilities, acquisition financings, and project financings.
  • Ability to work independently and handle multiple priorities under tight deadlines.
  • Excellent interpersonal skills and ability to communicate effectively with clients and colleagues.

Skills:

  • Proficiency in legal research tools and databases.
  • Exceptional drafting and negotiation skills.
  • Detail-oriented with strong analytical abilities.
  • Team player with a collaborative approach to problem-solving.

Certifications (if applicable):

  • Any certifications relevant to finance law or banking regulations would be advantageous.
