A law firm in Manchester, NH is seeking an experienced Corporate Law Attorney with 5-7 years of practice, specializing in representing closely held businesses. The ideal candidate will have a strong background in entity formation, corporate governance, and contract negotiation, with the ability to lead and manage complex business transactions.

Duties:

  • Advise clients on entity formation, corporate structuring, and governance matters.
  • Draft and negotiate a wide range of business contracts, including shareholder agreements, partnership agreements, and commercial leases.
  • Counsel clients on mergers, acquisitions, and other business transactions.
  • Conduct due diligence and manage transactional closings.
  • Provide legal guidance on regulatory compliance and corporate law issues.
  • Handle day-to-day legal matters for corporate clients, including contract disputes and employment issues.
  • Collaborate with other attorneys and professionals to deliver comprehensive legal solutions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New Hampshire State Bar or eligibility for admission via reciprocity.
  • 5-7 years of experience practicing corporate law at a reputable law firm.
  • Strong background in representing closely held businesses, including significant experience in entity formation and corporate governance.
  • Proven track record of leading and managing business transactions from start to finish.
  • Excellent academic credentials and writing skills.
  • Ability to communicate effectively with clients and colleagues at all levels.

Preferred Skills:

  • Experience with tax planning and business succession planning.
  • Familiarity with New Hampshire corporate laws and regulations.
