Experienced Commercial Real Estate Finance Attorney

Job Overview

A law firm seeks an experienced attorney to join its Commercial Real Estate Lending Practice in Midtown Manhattan. The ideal candidate will have extensive experience representing lenders in complex real estate finance transactions, working with a diverse range of financial structures. This role requires strong drafting, negotiation, and analytical skills to manage transactions from inception to closing.

Duties

• Represent institutional and private equity lenders in commercial and mixed-use property financing.

• Draft and negotiate senior, subordinate, mezzanine, preferred equity, and related loan documents.

• Handle various financing structures, including senior mortgage, junior mortgage, mezzanine, construction, balance sheet, bridge loans, participation agreements, and note-on-note financing.

• Conduct comprehensive reviews and revisions of organizational documents for borrowing entities.

• Prepare commitment letters, term sheets, fee letters, credit agreements, and ancillary loan documents.

• Oversee transactions involving loan modifications, forbearance agreements, estoppels, SNDAs, inter-creditor agreements, and co-lender agreements.

• Manage real estate-secured finance transactions, workouts, and restructurings.

• Review title reports, surveys, and oversee title clearance.

Requirements

• Ability to work efficiently in a fast-paced environment.

• Strong legal writing and drafting proficiency.

• Excellent analytical, organizational, and prioritization skills.

• Effective communication skills for client interactions.

• Proficiency in Microsoft 365.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Admission to the New York State Bar.
