The ideal candidate will have substantive experience representing private equity sponsors and/or agents in a wide range of transactions. Strong analytical and writing skills are essential, along with a current license to practice in the state.

Duties:

  • Represent private equity sponsors and agents in various transactions, including fund formation, investment structuring, and portfolio management.
  • Provide legal advice on investment funds and management services, including compliance with relevant regulations and industry standards.
  • Draft and negotiate complex legal documents, including fund formation agreements, investment management agreements, and related contracts.
  • Conduct thorough legal research and analysis to support transactional and regulatory compliance.
  • Assist in structuring and executing private equity deals, including due diligence, negotiations, and closing.
  • Collaborate with clients and colleagues to develop and implement effective legal strategies.
  • Manage multiple projects simultaneously while maintaining attention to detail and meeting deadlines.
  • Stay updated on industry trends, regulatory changes, and emerging issues in investment funds and private equity.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents in a broad range of transactions.
  • Strong analytical and writing skills with the ability to handle complex legal issues.
  • Licensed and in good standing to practice law in the state of California.
  • Proven ability to manage multiple transactions and projects efficiently.
  • Excellent communication and interpersonal skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in California.

  • Expertise in investment funds, private equity, and management services.
  • Proficiency in drafting and negotiating complex legal documents.
  • Strong analytical and problem-solving abilities.
  • Excellent written and verbal communication skills.
