The ideal candidate will have a strong background in representing technology companies in various corporate and transactional matters, demonstrating the ability to work collaboratively within teams while also independently managing substantial components of transactions. The role offers an opportunity to work on high-impact deals, including early and late-stage venture financings, mergers and acquisitions, and private and public offerings.

Key Responsibilities:

  • Represent technology companies in a broad range of corporate and transactional matters.
  • Handle early and late-stage venture financings, providing legal advice and documentation preparation.
  • Manage mergers and acquisitions, including conducting due diligence, drafting and negotiating agreements, and closing transactions.
  • Assist in private and public offerings, including the preparation of registration statements, prospectuses, and other related documentation.
  • Collaborate with cross-functional teams within the firm to provide comprehensive legal solutions to clients.
  • Independently manage substantial components of transactions, ensuring all legal aspects are thoroughly addressed.
  • Advise clients on general corporate matters, including governance, compliance, and strategic planning.
  • Stay current on legal developments relevant to the technology sector, ensuring clients receive up-to-date counsel.
  • Mentor junior associates and contribute to the firm’s knowledge management initiatives.

Required Qualifications:

  • JD from an accredited law school.
  • Admission to the Massachusetts Bar or eligibility to obtain admission promptly.
  • Experience representing technology companies in corporate and transactional matters.
  • Proven experience in managing substantial components of transactions independently.
  • Experience with early and late-stage venture financings, mergers and acquisitions, and private and public offerings.
  • Strong understanding of the legal issues facing technology companies at various stages of growth.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work effectively both independently and as part of a team.

Preferred Qualifications:

  • Experience working in a large law firm or a highly regarded boutique firm with a focus on technology companies.
  • Prior experience mentoring junior associates.
  • Strong business acumen and the ability to provide strategic advice to clients.
