A law firm seeks an experienced Associate Attorney to join its Asset Management Group within the Corporate Department. This role involves providing strategic legal counsel on creating, structuring, and managing private investment funds. The ideal candidate will work closely with clients to draft and negotiate critical legal documents, ensure compliance with regulatory frameworks, and deliver customized solutions to meet client goals.

Duties

  • Offer guidance on the establishment, structuring, and administration of private investment funds.
  • Prepare and negotiate essential legal documents, including limited partnership agreements, private placement memoranda, subscription agreements, and side letters.
  • Ensure adherence to securities laws and other relevant regulations.
  • Provide ongoing legal advice to fund managers and investors.
  • Conduct thorough due diligence and evaluate investment documents.
  • Support clients with fund marketing initiatives and investor communications.
  • Counsel on secondary transactions, fund restructurings, and other sophisticated fund-related activities.
  • Remain informed about evolving laws and regulatory developments impacting private funds.
  • Collaborate with multidisciplinary teams to provide comprehensive legal services.

Requirements

  • 3–6 years of relevant legal experience in private fund matters, preferably within a nationally recognized or global law firm.
  • Comprehensive understanding of securities laws and applicable regulatory frameworks.
  • Proven ability to draft and negotiate a wide range of fund-related documents.
  • Demonstrated capacity to independently manage multiple projects with varying deadlines.

Education

  • Juris Doctor (JD) degree from a fully accredited law school.

Certifications

  • Active bar membership in the jurisdiction of practice.
